Terms of Service

1. Acceptance of Terms

By accessing skymedialabs.com or engaging our services, you agree to these Terms of Service and applicable laws.

2. Services

Sky Media Labs Inc. is an AI-powered creative and digital marketing agency providing content creation, advertising, video production, podcast production, website development, AI-generated assets, and related services. Specific deliverables, pricing, timelines, and scope are governed by separate client agreements or Statements of Work (SOW). In case of conflict, the SOW prevails. We reserve the right to modify or discontinue services at our discretion.

3. Client Responsibilities

Clients agree to:

• Provide accurate and complete information
• Ensure they hold necessary rights to materials supplied
• Review and approve deliverables in a timely manner
• Comply with advertising, marketing, and platform laws
• Make payments according to agreed terms

Clients are solely responsible for legal compliance of content once approved.

4. Payment Terms

• A deposit (typically 50%) is required before project commencement
• Final deliverables are released upon receipt of final payment
• Late payments may incur interest at 1.5% per month
• Refund policies are governed by individual agreements

5. Intellectual Property

Upon full payment, clients receive a non-exclusive, perpetual license to use deliverables for their internal business and marketing purposes unless otherwise specified in writing. Sky Media Labs retains ownership of:

• Proprietary processes, templates, systems, and frameworks
• Pre-existing intellectual property
• Internal AI workflows and tools

Third-party assets (including stock materials, fonts, music, AI tools, and software) remain subject to their respective licenses. We may display completed work in our portfolio unless otherwise agreed.

6. AI-Generated Content Disclaimer

Our services may involve artificial intelligence tools. Client acknowledges:

• AI-generated outputs may not be entirely unique
• Copyright registrability of AI-generated content is not guaranteed
• Client is responsible for final review and approval
• Client assumes responsibility for legal compliance of advertising claims

Sky Media Labs disclaims liability for claims arising from AI tool limitations.

7. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during engagement. This obligation survives termination.

8. Indemnification

Client agrees to indemnify and hold harmless Sky Media Labs from any claims, damages, liabilities, or expenses arising from:

• Materials supplied by the client
• Client's misuse of deliverables
• Violations of advertising or intellectual property laws
• Breach of these Terms

9. Termination

Either party may terminate services in accordance with the applicable SOW. Upon termination:

• Fees for work completed remain payable
• Deposits are non-refundable unless otherwise agreed
• Licensed rights apply only to paid deliverables

10. Limitation of Liability

Sky Media Labs shall not be liable for indirect, incidental, consequential, or punitive damages. Total liability shall not exceed the total fees paid under the applicable SOW giving rise to the claim.

11. Force Majeure

We are not liable for delays or failure to perform due to events beyond our reasonable control, including infrastructure failures, platform outages, natural disasters, or governmental actions.

12. Electronic Communications

By using our services, you consent to receive electronic communications and agree that electronic agreements satisfy legal requirements for written agreements.

13. Governing Law

These Terms are governed by the laws of Ontario and applicable federal laws of Canada. Disputes shall be subject to the courts of Ontario.

14. Severability

If any provision is found unenforceable, remaining provisions remain in effect.

15. Changes to Terms

We may update these Terms from time to time. Continued use constitutes acceptance of changes.
